Mid-Level/Senior Associate: Corporate/M&A/Capital Markets ( 29 April 2026 )
Responsibility:
- Advise clients on regulatory, compliance and legal matters across a wide range of industries, including foreign direct investment, corporate and commercial law, joint ventures, M&A, and securities laws and regulations.
- Structure and execute strategic transactions and manage end-to-end transactional workstreams.
- Draft, review and negotiate commercial contracts and all related transaction and ancillary documents.
- Advise on board and shareholder matters and ongoing corporate governance issues.
- Prepare corporate documentation, board and shareholder meeting materials and minutes for statutory approvals, securities issuances, and corporate transactions, and ensure that such meetings are properly convened for private, public and listed companies.
- Prepare legal advice and legal opinions on complex legal matters.
- Conduct legal due diligence and prepare comprehensive due diligence reports for securities issuances, REIT investments, IPOs, listings, and other purposes.
- Prepare, supervise and coordinate on applications and documentation for licenses, permits, filings, notifications and registrations with relevant authorities.
Qualifications we are looking for:
- LL.B. or LL.M. with excellent academic credentials.
- Minimum 5 years of substantial experience in corporate, capital markets, and transactional advisory, documentation and registry procedures at a reputable law firm.
- Background in securitization, structured capital markets, or debt/equity capital markets is an advantage.
- Strong technical and practical knowledge of Thai laws.
- Excellent written and verbal communication skills in Thai and English (for international-facing roles, TOEFL 110+ or IELTS 7.0+ is an advantage).
- Client-focused mindset with strong work ethics and a can-do attitude.
- Ability to work independently and collaboratively, manage complex transactions, and lead and supervise team members.
- Strong interpersonal, organizational and time management skills, service-minded, pragmatic, proactive and detail-oriented.
- Experience working closely with regulatory and specialist teams.
- Strong sense of ownership and accountability, with a clear, confident, and professional communication style.
- Creative and solution-oriented approach to legal issues.
- Experience in domestic and cross-border transactions is preferred.
- Knowledge of accounting and financial modelling is an advantage.
- Strong negotiation, analytical, and conflict-resolution skills, ability to work under high-pressure and meet tight deadlines.
